IMPORTANT: THIS IS A LEGALLY BINDING AGREEMENT. BY MAKING A DOWN PAYMENT, YOU AGREE TO THESE TERMS IN FULL. PLEASE READ THEM CAREFULLY. CAPITAL IS AT RISK.

1.    Definitions

“The Trust”: 1867 Supporters Society Limited.
“The Pledge”: The total amount you commit to contribute to the Trust for the purpose of the backstop bid.
“Down Payment”: The initial, non-refundable payment you make to secure your Pledge.
“Balance”: The Pledge amount minus the Down Payment.
“Trigger Event”: The formal announcement by the Trust's Board, following confirmation from the Club's Administrators and/or the EFL, that no other acceptable offer for Sheffield Wednesday Football Club Limited has been completed, and that the Trust's backstop bid is being activated.
“Call Notice”: The official communication from the Trust to you, following the Trigger Event, demanding payment of the Balance of your Pledge.
“Campaign”: This initiative to gather pledges for the Backstop Bid.
“Club”: Sheffield Wednesday Football Club Limited [and Sheffield 3 Limited]

2.    Purpose of the Agreement

2.1.    The Club is in administration. The EFL has requested the Trust to prepare a backstop bid to secure the club's future.

2.2.    This Agreement establishes your conditional commitment to provide funding to the Trust to enable this backstop bid. The Trust will only call upon this commitment if the Trigger Event occurs.

3.    The Pledge and Down Payment

3.1.    You hereby make a binding Pledge to contribute the total sum of £[Total Pledge Amount].

3.2.    To secure this Pledge and to contribute to the substantial administrative costs of establishing and managing this Campaign, you agree to make an immediate, non-refundable Down Payment of £[Down Payment Amount].

3.3.    You acknowledge and agree that the Down Payment is a fee for entering into this conditional contract and is refundable exclusive of transaction costs.

4.    The Trigger Event and Call for Funds

4.1.    The Trust will hold your Pledge in readiness unless and until the Trigger Event occurs.

4.2.    Upon the occurrence of the Trigger Event, the Trust will issue a Call Notice to you via email, requiring you to pay the Balance of your Pledge.

4.3.    You agree to pay the Balance within a strict timeframe of 72 hours from the time the Call Notice is sent.

4.4.    Payment Method: You authorise the Trust to automatically collect the Balance from the same debit/credit card or bank account you used for the Down Payment. It is your responsibility to ensure sufficient funds are available. If the automatic collection fails, the Trust will provide a secure payment link for you to complete the payment manually within the 72-hour window.

5.    What Your Pledge Provides

5.1.    Upon the Trust's successful acquisition of the club's assets using the funds from this Campaign, your full Pledge amount (Down Payment + Balance) will be converted into [a withdrawable community share in the Trust, a Community Benefit Society].

5.2.    The terms of this conversion will be detailed in a separate Share Offer Document provided at the time of the Call Notice or shortly thereafter.

6.    Failure, Withdrawal, and Refunds

6.1.    If the Trigger Event does NOT occur by [Final Deadline Date, e.g., 31-Dec-2025], this Agreement will terminate. The Balance of your Pledge will not be called.

6.2.    If you wish to withdraw your Pledge BEFORE the Trigger Event: You may notify the Trust in writing. Your Pledge will be cancelled, but your Down Payment will be forfeit.

6.3.    If you FAIL TO PAY the Balance after a valid Call Notice: You will be in breach of this Agreement. Your Pledge will be cancelled, your Down Payment will be forfeit, and you will not be eligible for any shares or other benefits resulting from the acquisition. The Trust reserves the right to pursue the owed Balance.

7.    Risks

7.1.    You acknowledge that this is a high-risk endeavour.

7.2.    There is no guarantee of a return on your full Pledge. Investment in a football club, especially one in administration, carries a high risk of total loss of capital.

7.3.    The Trust's bid may be unsuccessful even if activated.

8.    Data Protection

8.1.    The Trust will process your personal data in accordance with its Privacy Policy and UK GDPR. By agreeing, you consent to us storing your payment details and using your contact information to administer this Agreement and send the Call Notice.

9.    General

9.1.    The Trust reserves the right to reject any Pledge at its sole discretion.

9.2.    This Agreement constitutes the entire understanding between you and the Trust.

9.3.    This Agreement shall be governed by the laws of England and Wales.

ACCEPTANCE AND PLEDGE

By proceeding with the Down Payment, I confirm that:

•    I am 18 years of age or older.
•    I have read, understood, and agree to be bound by this entire Pledge Agreement.
•    I acknowledge my Down Payment is refundable exclusive of transaction costs.
•    I authorise the Trust to automatically collect the Balance of my Pledge upon the issuance of a Call Notice.
